1. Acceptance of Terms

By accessing or using the Jzarr LLC (“Jzarr,” “we,” “us,” or “our”) website and services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue use of our website and services immediately. These terms apply to all visitors, users, and clients who access or purchase our web development services.

2. Services Description

Jzarr provides professional web development and design services, including but not limited to:

• Custom website design and development
• E-commerce store setup and configuration
• Logo and branding design
• SEO content optimization
• Website maintenance and support
• Additional custom development services as agreed upon in project scope

All services are delivered according to the specific package or custom agreement selected at the time of purchase. Detailed deliverables and timelines are outlined in the order confirmation provided after purchase.

3. Orders and Payment

• Pricing: All prices are listed in USD and are subject to change without notice. The price applicable to your order is the price displayed at the time of purchase.
• Payment Terms: Full payment or agreed-upon deposit is required to commence work on your project, unless otherwise specified in a custom agreement. We accept payment via major credit cards and other payment methods as displayed during checkout.
• Order Confirmation: Upon placing an order, you will receive an order confirmation within 24 hours. This confirmation constitutes acceptance of your order and begins the project timeline. Jzarr reserves the right to decline any order at its sole discretion.
• Additional Costs: Third-party costs such as domain registration, hosting fees, premium plugins, stock photography, and custom font licenses are not included in package prices unless explicitly stated and are the client's responsibility.

4. Project Timeline and Delivery

• Timeline Estimates: Delivery timelines are estimates based on project scope and begin upon order confirmation. Starter Site packages are typically delivered within 24-48 hours. Business Pro packages take approximately 2 weeks, and Enterprise Build packages take 3-4 weeks. Actual delivery times may vary based on project complexity and client responsiveness.
• Client Responsibilities: Timely delivery depends on prompt client communication, feedback, and provision of required materials (content, images, brand assets). Delays caused by client unresponsiveness are not the responsibility of Jzarr and may extend delivery timelines.
• Delivery Format: Completed projects are delivered as fully functional websites, with all source files and assets provided upon final payment. We provide deployment assistance to your hosting environment as part of the delivery process.

5. Revisions and Changes

• Included Revisions: Each package includes a specified number of revision rounds. Additional revisions beyond the included amount may incur extra charges at our standard hourly or per-revision rate.
• Scope Changes: Any changes to the original project scope agreed upon at order confirmation may result in additional charges and timeline adjustments. Scope changes must be documented and approved by both parties.
• Revision Turnaround: We aim to complete revision rounds within 1-3 business days, depending on the complexity of the requested changes.

6. Intellectual Property

• Client Ownership: Upon full payment, the client receives full ownership of the final delivered website, including design elements, code, and content created specifically for the project. Jzarr retains no claim to the final deliverables.
• Our Rights: Jzarr retains the right to display completed projects in our portfolio, on our website, and in marketing materials unless a non-disclosure agreement (NDA) has been signed by both parties.
• Third-Party Components: Any third-party libraries, frameworks, plugins, or assets used in the project remain subject to their respective licenses. Jzarr ensures all third-party components used are properly licensed for commercial use.
• Client-Provided Assets: The client warrants that they have the necessary rights and permissions for any content, images, logos, or materials provided to Jzarr for use in the project.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

• Jzarr LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services or website.
• Our total liability for any claims arising from our services is limited to the amount paid by the client for the specific service giving rise to the claim.
• We do not guarantee specific business results, revenue increases, or search engine rankings as a result of our services.
• Jzarr is not responsible for website downtime, security breaches, or data loss occurring on third-party hosting platforms.

8. Warranties and Disclaimers

Our services are provided on an “as is” and “as available” basis. Jzarr makes the following warranties:

• We warrant that our work will be performed in a professional and workmanlike manner consistent with industry standards.
• We warrant that the delivered website will function as specified in the project scope at the time of delivery, tested on current versions of major browsers (Chrome, Firefox, Safari, Edge).
• We do not warrant uninterrupted or error-free operation of the website, particularly with respect to third-party integrations, hosting environments, or future browser updates beyond our control.

9. Cancellation and Termination

• Client Cancellation: Clients may cancel a project at any time by providing written notice. Refunds are governed by our Refund Policy. Work completed up to the point of cancellation remains billable.
• Termination by Jzarr: We reserve the right to terminate a project if the client breaches these terms, fails to make payments, engages in abusive or unprofessional conduct, or if the project requirements become fundamentally different from the original scope. In such cases, the client will be billed for work completed.
• Effect of Termination: Upon termination, the client will receive all completed work and deliverables up to the termination date. Any remaining balance for work performed becomes immediately due.

10. Confidentiality

Both parties agree to treat all non-public information shared during the project as confidential. This includes business plans, financial information, customer data, trade secrets, and proprietary methodologies. Confidential information shall not be disclosed to third parties without written consent, except as required by law. This confidentiality obligation survives termination of the agreement for a period of two years.

11. Indemnification

You agree to indemnify, defend, and hold harmless Jzarr LLC and its officers, employees, and contractors from any claims, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms & Conditions; (b) your use of the delivered website or services in violation of applicable laws; or (c) claims that content or materials you provided to us infringe upon third-party intellectual property rights.

12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina.

13. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting to this page. Continued use of our services after any modifications constitutes acceptance of the updated terms. We encourage you to review these terms periodically for any changes.
